1. About MilanAura AI Studio

MilanAura AI Studio ("MilanAura," "we," "us," or "our") is a division of TechYourKinetics LLC, a Texas limited liability company. We provide AI-powered content creation services for executive coaches and consultants, including LinkedIn posts, custom graphics, video scripts, audio content, and related digital deliverables.

2. Services and Deliverables

MilanAura offers the following subscription collections:

• AURA ($497/month): 3 LinkedIn posts weekly, 12 custom LinkedIn graphics monthly, SEO optimization, weekly Friday delivery, brand voice customization, 1 revision round per content pack.
• MILAN ($997/month): Everything in AURA plus multi-platform content, 4 short-form videos monthly, 2 long-form video scripts monthly, bi-weekly strategy calls, 2 revision rounds, priority support.
• PRESTIGE ($2,497/month): Everything in MILAN plus daily content, priority design queue, weekly strategy sessions, quarterly brand workshop, unlimited revisions, direct communication access, monthly analytics.
• SIGNATURE (By Invitation): Custom scope, pricing, and deliverables agreed upon in writing prior to commencement.

All deliverables are described in detail on our website at milanaura.app. Weekly content packs are delivered every Friday via email unless otherwise agreed in writing.

3. Application and Acceptance

Membership in MilanAura is by application only. Submitting an application does not guarantee acceptance. We review all applications within 48 hours and reserve the right to decline any application at our sole discretion without obligation to provide a reason.

Upon acceptance, you will receive an onboarding communication from our team. Your subscription begins on the date payment is first processed.

4. Founding Member Initiative

Our Founding Member Initiative offers a 50% reduction on the standard monthly subscription fee for the first 90 days of your membership. This promotion applies to the first 20 accepted members across all collections. After the 90-day founding period, subscriptions automatically renew at the standard collection rate. You will receive written notice of the upcoming rate change at least 14 days before the transition.

5. Payment Terms

Subscriptions are billed monthly in advance via Stripe, our secure payment processor. By subscribing, you authorize recurring monthly charges to your payment method on the billing date established at signup.

• All fees are quoted and charged in USD.
• Payments are non-refundable unless otherwise specified in this agreement.
• Failed payments may result in suspension of service until the outstanding balance is resolved.
• We reserve the right to update pricing with 30 days written notice to active subscribers.

6. Cancellation Policy

You may cancel your subscription at any time by providing written notice to [email protected] at least 7 days before your next billing date. Cancellations received after this window will take effect at the end of the following billing period.

Upon cancellation, you retain access to all content packs delivered during your paid subscription period. No partial refunds are issued for unused days within a billing cycle.

7. Refund Policy

Due to the bespoke nature of our AI content services, all fees are generally non-refundable once a content pack has been delivered. However, we are committed to quality. If a delivered content pack does not meet the agreed specifications outlined during onboarding, we will:

• Provide revisions within the revision allowance of your collection.
• Offer a credit toward a future pack in cases of significant quality failure.
• Issue a full or partial refund at our discretion in exceptional circumstances only.

8. Intellectual Property

Upon full payment of the applicable subscription fee, MilanAura grants you a perpetual, non-exclusive, worldwide license to use, publish, and distribute all content delivered to you as part of your subscription.

You may freely publish, edit, and repurpose all delivered content across your professional platforms. MilanAura retains the right to use anonymized, non-attributable examples of work for portfolio and marketing purposes unless you opt out in writing.

The MilanAura brand name, logo, "Milan" brand ambassador, TUKOS platform, and all proprietary methodologies remain the exclusive property of TechYourKinetics LLC.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the service relationship. This includes your brand strategy, audience data, business plans shared during onboarding, and any information explicitly marked as confidential.

10. Limitations of Liability

MilanAura provides AI-assisted content services. While we maintain high quality standards as evidenced by our quality audit process, we do not guarantee specific business outcomes, follower growth, engagement rates, or revenue results from use of our content.

To the fullest extent permitted by law, TechYourKinetics LLC's total liability for any claim arising from these services shall not exceed the total fees paid by you in the 30 days immediately preceding the claim.

11. Prohibited Use

You agree not to use MilanAura services for:

• Content that is false, misleading, defamatory, or fraudulent.
• Impersonating any person or entity.
• Any purpose that violates applicable laws or regulations.
• Reselling or sublicensing our content services to third parties without written consent.

12. Governing Law

These Terms of Service are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Travis County, Texas.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Active subscribers will receive written notice of material changes at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated terms.
